1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Prime Lead Exchange, LLC, a Delaware limited liability company ("Prime Lead Exchange," "Company," "we," "us," or "our"). These Terms govern your access to and use of the Prime Lead Exchange website located at primeleadexchange.com (the "Website") and all related services, features, content, and applications offered by Prime Lead Exchange (collectively, the "Services").

By accessing or using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Prime Lead Exchange provides lead generation services that connect consumers seeking various services with qualified service providers ("Contractors"). Our Services include:

• Lead Generation: We collect information from consumers interested in home services, legal services, health insurance, financial services, and other categories, and provide this information to Contractors
• LeadPulse: Our AI-powered technology that contacts and qualifies leads in real-time, converting web form submissions into live call transfers
• ConnectHub: Our lead management and CRM platform for Contractors
• Live Transfers: Real-time phone connections between qualified consumers and Contractors

3. User Types

Our Services are designed for two types of users:

• Consumers ("Homeowners" or "Potential Clients"): Individuals seeking to obtain quotes, information, or services from Contractors in various industries
• Contractors ("Service Providers" or "Clients"): Businesses and professionals seeking to receive leads for potential customers

4. Terms for Consumers

4.1 Information Submission

When you submit information through our Website requesting quotes or services:

• You consent to having your information shared with one or more Contractors who may contact you regarding your request
• You represent that all information you provide is accurate, current, and complete
• You understand that Contractors who contact you are independent businesses and not employees or agents of Prime Lead Exchange

4.2 Communication Consent

By submitting your contact information, you expressly consent to receive:

• Phone calls (including autodialed and prerecorded calls) and text messages from Prime Lead Exchange and/or our partner Contractors
• Emails regarding your service request and related marketing communications

You may revoke this consent at any time by contacting us at hello@primeleadexchange.com.

4.3 No Guarantee of Services

Prime Lead Exchange does not guarantee:

• That you will receive responses from Contractors
• The quality, pricing, or availability of services from any Contractor
• That any Contractor will meet your specific needs or expectations

5. Terms for Contractors

5.1 Lead Services

Our Services provide Contractors with:

• Leads: Consumer information and requests for quotes or services
• Appointments: Scheduled meetings between leads and Contractors facilitated by our LeadPulse AI technology
• Live Transfers: Real-time phone connections with qualified consumers

5.2 Lead Distribution

• Leads are provided based on specified geographic areas (ZIP codes or other designations) registered with our Services
• Depending on your agreement, leads may be exclusive or shared with other Contractors
• We reserve the right to distribute leads that have not been converted within 60 days to other Contractors

5.3 Contractor Obligations

As a Contractor using our Services, you agree to:

• Respond to leads promptly and professionally
• Comply with all applicable laws, regulations, and licensing requirements
• Maintain appropriate insurance coverage for your services
• Not share, resell, or redistribute leads received from Prime Lead Exchange
• Handle consumer information in accordance with applicable privacy laws
• Comply with TCPA, CAN-SPAM, and other relevant communication laws

5.4 Payment Terms

Payment terms, pricing, and billing procedures are set forth in your separate Contractor Agreement with Prime Lead Exchange. By using the Services, you agree to pay all applicable fees in accordance with your agreement.

6. Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

7. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Provide false, misleading, or inaccurate information
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Use any automated means (bots, scrapers, etc.) to access the Services without our express permission
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
• Harass, abuse, or harm another person through your use of the Services
• Use the Services to send spam or unsolicited commercial communications
• Resell, redistribute, or sublicense leads or any other content obtained through the Services

8. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of Prime Lead Exchange or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not include the right to:

• Modify or copy the materials
• Use the materials for any commercial purpose other than as intended
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

9. Third-Party Services

Our Services may integrate with or link to third-party services, including:

• Call tracking and routing platforms (Ringba, Retriever, Invoca, CallRail)
• Lead validation services (TrustedForm, Jornaya)
• CRM integrations
• Payment processors

Your use of third-party services is subject to their respective terms and privacy policies. Prime Lead Exchange is not responsible for the availability, content, or practices of third-party services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Prime Lead Exchange disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties regarding any results that may be obtained from use of the Services

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME LEAD EXCHANGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability exceed the amounts paid by you to Prime Lead Exchange in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prime Lead Exchange and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through the Services

13. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• Any provisions of these Terms that by their nature should survive termination shall survive
• We are not liable to you or any third party for any termination of your access to the Services

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles County, California. You agree to waive any right to a jury trial or to participate in a class action.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Website. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with Prime Lead Exchange, constitute the entire agreement between you and Prime Lead Exchange regarding the Services and supersede all prior agreements and understandings.
